• Worked on an investment round of circa £7 million to build the first commercial unit that would the recycle residual plastic waste into a low sulphur synthetic hydrocarbon.
• Evaluated different business models, based on market requirements and the company’s strengths and weaknesses, to enter two European markets in 2019.
• Prepared precedent documents, such as NDAs, IP assignments, and license agreements, and board minutes.

• Drafted and reviewed contracts required for the financing of a wind-farm project in the U.K., including, O&Ms, leases, PPAs, direct agreements.
• Conducted the U.K. corporate legal due diligence review process for a potential acquisition of airport fuel facilities around the world on behalf of BP, identifying potential risks and their corresponding mitigating action.
• Co-reviewed the finance documents connected to the corporate finance of the Phase II of an energy project in Azerbaijan that added approximately 16 billion cubic meters per year of gas production.
• Compared and evaluated the benefits & risks connected to the re-domiciliation of a major financial institution based in the U.K. to the UAE, Canada, USA and Hong Kong from compliance and corporate governance standpoints.

• Created and implemented a strategy to acquire three agri-businesses in Argentina, Uruguay, and Paraguay by an international company, including carrying-on the legal due diligence review and the financial structuring.
• Advised and prepared the documentation required by an international company to pre-qualify and participate in the Mexican “Round Zero” bid process, including liaising with local governmental authorities and stockholders.
• Represented Posco and Sinohydro, respectively, in their negotiations of EPC contracts with the Venezuelan Republic in the construction of power plants.
• Created and executed an exit strategy of Venezuela for Maersk focused on mitigating the risks resulting from the early termination of project agreements executed with the Venezuelan Republic.
• Advised Hyland in its bid proposal to provide their software services to the Mexican government.
• Drafted and negotiated commercial contracts on behalf of Fox Channels, Samsung, and Phillips, such as sale contracts, license agreements, general terms of services, framework agreements, and collaborative arrangements.

• Negotiated with the Venezuelan Republic joint venture, production-sharing, oil and gas, and power purchase agreements, including bid proposal for blocks in the Orinoco Belt, on behalf of an upstream company to develop on-shore and off-shore activities, involving advising and executing novel project finance structures, such as the repayment of loans with future production of crude.
• Managed a team of 8 in the execution of a strategy for the acquisition of mining assets in Colombia and Chile by a public company, including obtaining governmental authorisations and securing arrangements with local suppliers.
• Represented Zon Multimedia in a potential acquisition of a telecom business in Venezuela, including performing the due diligence review of commercial contracts and the negotiation of the framework purchase-agreement.
• Represented Talisman Energy in the acquisition of energy assets in Colombia.
• Acted for Ambev in the acquisition of a regional beer business in Venezuela.

• Co-drafted the corporate and finance documentation, involving petitions required to secure governmental approvals for the nationalisation of the domestic power company Electricidad de Valencia.
• Obtained a favourable result on behalf of Telefonica in a competition case connected to the advertising campaign it used to enter the Venezuelan market.
• Incorporated a brokerage house before the Venezuelan Superintendence of Securities.
• Created a strategy that allowed Cadbury Adams to finance their Venezuelan imports under a currency exchange control regime, including obtaining government approvals to access foreign capital at the official rate, maximising Cadbury Adams’ profits.

• Adapted the company’s sale agreements to the Venezuelan law.
• Reviewed and drafted the products sale agreements pursuant to local law and company’s policies.
• Defended ’s interests in claims before the Venezuela Department of the Consumer presented by consumers and based on manufacturer’s warranties.
• Campaigned for new products, which included obtaining approvals for new promotions, products, and services.
